IMPORTANT NOTICE: THIS IS AN AGREEMENT BETWEEN YOU AND Scottrade FOR YOU TO RECEIVE INFORMATION PUBLISHED BY THE OPTIONS PRICE REPORTING AUTHORITY ("OPRA"). PLEASE READ THIS AGREEMENT CAREFULLY. AFTER YOU HAVE READ THIS AGREEMENT, PLEASE INDICATE YOUR AGREEMENT TO BE BOUND BY ITS TERMS AND CONDITIONS BY CLICKING ON THE "I AGREE" BUTTON AT THE END. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU WILL BE UNABLE TO RECEIVE THE INFORMATION.

1. By completing and submitting this Agreement, you are applying to receive from Scottrade, 12855 Flushing Meadow Dr. St.Louis,MO 63131-1814, an Internet-based market data service (the "Service") providing access to current options last sale information, current options quotation information and related information ("Options Information") published by the Options Price Reporting Authority ("OPRA") pursuant to a Plan declared effective by the Securities and Exchange Commission. The "OPRA Participants" are those national securities exchanges who, from time to time, are parties to this Plan. Those persons who act from time to time as data processors on behalf of OPRA are referred to herein as "OPRAAs Processor." For the purpose of this Agreement, you hereby represent and agree as follows (type in the answers as indicated):

2. You shall receive the Service and the Options Information included therein solely for your own use, and you shall not retransmit or otherwise furnish the Options Information to any other person.

3. You acknowledge that the Options Information is and shall remain the property of the respective exchange or other market on which a reported transaction took place or a reported quotation was entered.

DISCLAIMER OF LIABILITY -- NEITHER Scottrade, OPRA, OPRAAS PROCESSOR NOR ANY OPRA PARTICIPANT GUARANTEES THE TIMELINESS, SEQUENCE, ACCURACY OR COMPLETENESS OF ANY OF THE OPTIONS INFORMATION SUPPLIED TO YOU HEREUNDER AND NEITHER Scottrade, OPRA, OPRAAS PROCESSOR NOR ANY OPRA PARTICIPANT SHALL BE LIABLE IN ANY WAY TO YOU OR TO ANY OTHER PERSON, FOR ANY LOSS, DAMAGES, COST OR EXPENSE WHICH MAY ARISE FROM ANY FAILURE OF PERFORMANCE BY Scottrade, OPRA, OPRAAS PROCESSOR OR ANY OPRA PARTICIPANT, OR FROM ANY DELAYS, INACCURACIES, ERRORS IN OR OMISSIONS OF, ANY OF THE OPTIONS INFORMATION OR IN THE TRANSMISSION OR DELIVERY THEREOF, WHETHER OR NOT DUE TO ANY NEGLIGENT ACT OR OMISSION ON THE PART OF Scottrade, OPRA, OPRAAS PROCESSOR OR ANY OPRA PARTICIPANT. IN NO EVENT SHALL Scottrade, OPRA, OPRAAS PROCESSOR OR ANY PARTICIPANT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, TRADING LOSSES, OR DAMAGES RESULTING FROM INCONVENIENCE OR LOSS OF USE OF THE SERVICE.

4. 責任免責條款—無論是史考特證券、OPRA、OPRA資料處理業者、或OPRA參與業者，不保證提供給您的期權資料是及時、按照順序、正確、或完整。而且史考特證券、OPRA、OPRA資料處理者、或OPRA參與業者不對您或其他人負任何形式的責任，包括史考特證券、OPRA、OPRA資料處理者、或OPRA參與業者傳送期權資料延誤、不準確、錯誤，或遺漏，所導致您的損失、損害、成本或花費，不論是史考特證券、OPRA、OPRA資料處理業者、或OPRA參與業者的疏忽或遺漏。在任何情況下，不論是史考特證券、OPRA、OPRA資料處理業者、或OPRA參與業者不負責任何偶發、特別、間接、或緊隨而來的損害，包括但不限於因不方便或無法使用此該服務所造成的利潤損失、交易損失或損害。

5. The terms and conditions of this Agreement may be modified at any time upon notice to you. If you do not assent to the terms of any such modified Agreement at or prior to the time you next attempt to access the Service, this Agreement shall automatically be terminated.

5. 此協議的條款可能在通知您後進行修改。如果您在下次使用此服務之前，不同意經修改協議後的項目，此協議將自動終止。

6. Your privilege of receiving the Options Information hereunder may be terminated by you or by Scottrade upon 30 days written notice from the terminating party to the other party, and may be terminated immediately upon a determination by Scottrade or OPRA that you are not in compliance with this Agreement.

7. Nothing herein shall be deemed to prevent or restrict OPRA, OPRAAs Processor or any OPRA Participant from discontinuing to furnish Options Information for dissemination or from making such changes in the speed of transmission, the characteristics of the electrical signals representing the Options Information or the manner of disseminating the same, as OPRA shall from time to time determine to be appropriate, with or without notice to you. You shall not hold OPRA, OPRAAs Processor, or any OPRA Participant liable for any resulting liability, loss or damage that may arise therefrom.

7.OPRA、OPRA資料處理業者、或OPRA參與業者，不受中斷提供期權資訊、改變傳輸速度、表期權資訊電子訊號的特性或傳送樣式等的任何限制、當 OPRA決定是適當的行為，無論是否有通知您。任何責任、隨後導致之損失或損害，您將不會將責任歸屬於OPRA、OPRA資料處理業者、或OPRA參與業者。

8. You agree to inform Scottrade promptly in writing at its address set forth above of any changes in the information provided herein and to furnish Scottrade any additional information requested by it in connection with your receipt of the Options Information.

9. The parties acknowledge and agree that this Agreement is for the express benefit of OPRA, OPRAAs Processor and each OPRA Participant.

10. The provisions of Sections 3, 4 and 9 survive any termination of this Agreement and remain in full force and effect.
